Terms and Conditions

1. Acceptance of Terms

By accessing or using Chareot's website, mobile application, or on-demand transportation services (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not use our Services. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Chareot provides on-demand and scheduled transportation services designed for organizational partnerships. Our Services include rider transportation through our mobile application, branded cart operations, zone-based transit solutions, and municipal and community transportation programs. Chareot acts as a technology platform connecting riders with vetted drivers and operational partners.

3. Eligibility

You must be at least 18 years old to create an account and use our Services. Some rides may be available to minors when accompanied by a responsible adult or when authorized by a partner organization's program. By using our Services, you represent that you meet these eligibility requirements.

4. Account Registration

To use our Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Ride Services and Service Zones

Chareot operates within designated service zones, currently in Charlotte and Dallas. Rides may be requested on-demand or scheduled in advance, depending on availability and your organization's program configuration. We reserve the right to:

  • Modify, expand, or reduce service zones at any time
  • Limit ride availability based on demand, driver availability, or operational conditions
  • Cancel or reroute rides for safety or operational reasons

6. Payments and Billing

Ride costs may be paid directly by riders, fully subsidized by a partner organization, or partially subsidized under a custom billing arrangement. By using our Services, you agree to:

  • Pay all applicable fees for rides not covered by an organizational sponsorship
  • Maintain a valid payment method on file if required by your service plan
  • Accept that pricing may vary based on distance, demand, and zone configuration

All fees are non-refundable unless otherwise stated or required by applicable law. Chareot reserves the right to adjust pricing with reasonable notice.

7. Rider Conduct

When using our Services, you agree to:

  • Treat drivers, other riders, and Chareot staff with respect
  • Comply with all applicable local, state, and federal laws during rides
  • Wear seatbelts and follow all posted safety guidelines
  • Not engage in any illegal, dangerous, or disruptive behavior during rides
  • Not damage vehicles or equipment used in the provision of Services

Chareot reserves the right to suspend or terminate your account for violations of these conduct standards.

8. Organizational Partner Terms

Organizations partnering with Chareot to provide sponsored or subsidized transportation are subject to the terms outlined in their respective partnership agreements. These Terms apply to individual riders using the Services, whether or not their rides are organization-sponsored.

9. Intellectual Property

All content, trademarks, logos, and intellectual property displayed on our website and mobile application, including the Chareot name, branding, and “Move Forward Together” tagline, are the property of Chareot. You may not reproduce, distribute, or create derivative works from any of our intellectual property without prior written consent.

10. Limitation of Liability

To the fullest extent permitted by law, Chareot and its officers, directors, employees, drivers, and operational partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability for any claim arising from the Services shall not exceed the amount paid by you for the specific ride giving rise to the claim.

11. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied. Chareot does not guarantee uninterrupted, timely, or error-free service. While we work with vetted drivers and operational partners to ensure safe and reliable rides, we do not warrant that all rides will be free from delays or disruptions.

12. Indemnification

You agree to indemnify and hold harmless Chareot, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

13. Termination

Chareot may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may also deactivate your account at any time by contacting us. Upon termination, your right to use the Services ceases immediately, but provisions that by their nature should survive (including liability limitations and indemnification) will remain in effect.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in Mecklenburg County, North Carolina.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on our website with an updated effective date. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
